These Terms and Conditions apply to purchases, downloads, software licences and digital services supplied through PinoyTrade.com and related PinoyTrade services.

2. Definitions

In these Terms and Conditions:

  • “PinoyTrade”, “we”, “us” or “our” means PinoyTrade.
  • “Customer”, “you” or “your” means the person or business purchasing or using our products or services.
  • “Software” means digital software products supplied by PinoyTrade, including plugins, licence keys, download tokens, updates, documentation and related digital services.
  • “Licence” means the right to use the purchased Software under the conditions stated on the product page, order confirmation, licence email or documentation.
  • “Website” means PinoyTrade.com and related PinoyTrade domains or services.

3. Scope

These Terms and Conditions apply to:

  • software purchases;
  • digital licence keys;
  • download tokens;
  • secure download links;
  • plugin downloads;
  • digital documentation;
  • software updates;
  • licence checks;
  • support related to purchased Software;
  • any other digital services supplied by PinoyTrade.

Additional product-specific conditions may apply. If a product page contains specific licence terms, those product-specific terms apply in addition to these Terms and Conditions.

4. Orders and payment

Orders are placed through our WooCommerce checkout or another approved PinoyTrade sales channel.

Prices are shown on the product page. Prices may include or exclude VAT depending on the customer type, location and checkout settings.

An order is confirmed when payment has been received or when the order status allows digital delivery.

We reserve the right to refuse or cancel an order in case of obvious pricing errors, suspected fraud, misuse, payment issues or technical errors.

5. Digital delivery

PinoyTrade supplies digital products electronically.

After a successful order, the customer may receive one or more of the following:

  • order confirmation;
  • licence key;
  • download token;
  • secure download link;
  • software file;
  • setup instructions;
  • licence activation instructions.

Download links and tokens are personal to the order and may be time-limited, usage-limited or protected against public access.

Public sharing of download links, licence keys or software files is not allowed.

6. Licence use

Unless stated otherwise, a purchased Software licence gives the customer a limited, non-exclusive, non-transferable right to use the Software for their own website, business or internal use.

The licence does not transfer ownership of the Software, source code, brand, design, intellectual property or related systems.

You may not:

  • resell the Software without written permission;
  • share licence keys publicly;
  • upload the Software to public download sites;
  • remove licence checks or protection mechanisms;
  • reverse engineer, copy or redistribute the Software except where allowed by mandatory law;
  • use the Software for illegal, harmful or abusive purposes.

7. Licence activation and validation

Some Software products require licence activation.

Licence validation may be performed through PinoyTrade servers, including apps.pinoytrade.com or another PinoyTrade licence endpoint.

The Software may periodically check whether a licence is active, expired, invalid, cancelled or otherwise restricted.

If a licence is expired, invalid, refunded, charged back or misused, access to licence-protected functionality may be limited or disabled.

8. Updates

Software updates may be provided during the active licence period, depending on the product and licence type.

Updates may include bug fixes, security improvements, compatibility updates or feature changes.

We may change, improve or remove features where needed for security, compatibility, legal compliance or product development.

You are responsible for keeping WordPress, WooCommerce, plugins, themes and server software reasonably up to date.

9. Compatibility

Our Software is intended to work with supported versions of WordPress and WooCommerce as described on the product page or documentation.

Compatibility may depend on:

  • WordPress version;
  • WooCommerce version;
  • PHP version;
  • theme;
  • other plugins;
  • hosting environment;
  • browser;
  • device permissions;
  • camera or scanner support.

We cannot guarantee compatibility with every theme, plugin, hosting provider, custom checkout, POS system or modified WooCommerce setup.

10. Backups and testing

Before installing, updating or changing Software on a live website, you are responsible for making a full backup and testing where reasonably possible.

PinoyTrade is not responsible for damage caused by missing backups, unsafe custom changes, unsupported hosting, conflicting plugins or incorrect installation.

11. Support

Support may be provided by email or another PinoyTrade support channel.

Support normally covers:

  • licence activation questions;
  • installation guidance;
  • basic configuration;
  • reproducible software issues;
  • questions about documented features.

Support does not normally include:

  • custom development;
  • theme customization;
  • third-party plugin fixes;
  • hosting or server repair;
  • WooCommerce store management;
  • data cleaning;
  • recovery from user mistakes;
  • recovery from third-party conflicts;
  • training beyond normal product guidance.

We may ask for screenshots, error messages, website information or temporary access where needed to investigate an issue.

12.Customer responsibility and limitation of liability

PinoyTrade Scanner for WooCommerce is a software tool designed to help customers scan, search, update and manage WooCommerce product data, including stock, prices, sale prices, expiry dates and barcodes.

The customer remains responsible for the correct use of the Software and for checking all product data, stock values, prices, sale prices, expiry dates, barcodes, imports, synchronisations and updates before and after saving changes.

Before installing, updating, importing data or using the Software on a live WooCommerce store, the customer is responsible for making a complete backup and, where reasonably possible, testing the Software in a safe environment.

To the maximum extent permitted by law, PinoyTrade is not liable for damage, loss or costs caused by or related to the use, misuse, configuration or inability to use the Software, including but not limited to:

  • incorrect stock changes;
  • incorrect price or sale price changes;
  • incorrect barcode changes;
  • incorrect expiry date entries;
  • incorrect CSV imports or migrated barcode data;
  • conflicts with third-party plugins, themes, POS systems or custom code;
  • WooCommerce, WordPress, hosting or server issues;
  • data loss;
  • business interruption;
  • loss of revenue, profit, orders, goodwill or customers;
  • damage resulting from missing, incomplete or outdated backups.

The customer is responsible for reviewing changes made through the scanner workflow and for ensuring that product information remains correct in WooCommerce, connected systems and external sales channels.

Nothing in these Terms excludes or limits liability where this is not allowed by mandatory law, including statutory consumer rights for defective digital products or digital services.

Digital delivery and withdrawal right

PinoyTrade supplies digital software products, licence keys, download tokens, secure download links and related digital services.

For consumers, a statutory withdrawal period may normally apply to online purchases. However, for digital content and digital services, this withdrawal right can end when the customer expressly agrees during checkout that digital delivery starts immediately and acknowledges that the right of withdrawal is lost once digital delivery has started.

Digital delivery may include issuing a licence key, creating or sending a download token, providing a download link, making the software file available, activating software access or providing access to a protected digital service.

After the customer has given the required consent and acknowledgement, and digital delivery has started, the order is final and can no longer be cancelled under the right of withdrawal.

This does not affect statutory rights if the digital product is defective or does not conform to what was promised.

Business customers do not have a statutory consumer right of withdrawal.

13. Digital content and right of withdrawal

Important for digital products: for consumers, digital content and digital services may normally have a legal withdrawal period. However, this right may end when the customer expressly agrees during checkout that digital delivery starts immediately and acknowledges that the right of withdrawal is lost once the digital content, licence key, download token, download link, activation or software access is made available.

When you give this consent and acknowledgement, and digital delivery has started, the purchase can no longer be cancelled under the right of withdrawal.

This does not affect your statutory rights if the digital product is defective or does not conform to what was promised.

Business customers do not have a statutory consumer right of withdrawal.

14. Refunds

Refunds are handled according to our Refund and Returns Policy.

Because our products are digital software products, refunds are not normally provided after the licence key, download token, download link, software file or activation access has been supplied, except where required by law.

15. Intellectual property

All Software, code, design, documentation, names, logos, branding, product texts and related materials remain the intellectual property of PinoyTrade or its licensors.

You may only use them as allowed under these Terms and Conditions and the purchased licence.

The PinoyTrade name and logo may not be used in a misleading way or without permission.

16. Customer data and privacy

We process personal data as described in our Privacy Policy and Cookie Policy.

Order, licence and support data may be used to:

  • process purchases;
  • deliver digital products;
  • activate and validate licences;
  • provide support;
  • prevent fraud and misuse;
  • comply with tax and legal obligations;
  • improve our products and services.

17. Security and misuse

You must not misuse the Website, checkout, download system, licence server or Software.

Misuse includes but is not limited to hacking attempts, automated scraping, licence abuse, public sharing of protected downloads, bypassing security measures or using the Software in a way that damages PinoyTrade or third parties.

We may suspend access, block downloads or disable licences in case of misuse, fraud, chargeback, unlawful use or breach of these Terms and Conditions.

18. Limitation of liability

To the maximum extent allowed by law, PinoyTrade is not liable for indirect damage, loss of revenue, loss of profit, business interruption, loss of data, loss of goodwill or damage caused by third-party systems.

Our total liability for a paid product is limited to the amount paid for that specific product, unless mandatory law provides otherwise.

Nothing in these Terms and Conditions limits liability where this is not allowed by law.

19. Changes to products and terms

We may update these Terms and Conditions from time to time.

The version published on the Website applies to new purchases from the date of publication.

For existing purchases, material changes will not reduce mandatory legal rights.

20. Governing law

These Terms and Conditions are governed by the laws of the Netherlands.

If you are a consumer in the European Union, you may also have mandatory consumer rights in your country of residence.
